CAPITAL INCREASE CERTIFICATION:
The undersigned, Douglas E. McKeever, Deputy Treasurer of Citibank, N.A., a national banking association formed and validly existing under the laws of the United States of America (hereinafter, “Citibank”), duly authorized by Article X, Section 2 of the existing By-Laws of Citibank, a copy of the relevant part of which is attached hereto as Exhibit “A”, to grant this Capital Increase Certification HEREBY CERTIFIES the following:
WHEREAS:
- Citibank recorded its organizational documents at the Public Registry of Commerce of the City of Quito, Ecuador establishing a branch in the mentioned country (hereinafter, the «Branch«).
- The Branch obtained profits during the last year that are held is held in a special reserve destined to capitalize (hereinafter the “Special Reserve for Future Capitalization”) that need to be assigned as Capital. The amounts of profits that are held in the Special Reserve for Future Capitalization that need to be capitalized are composed as follow:
Profits of 2019US$ 8,136,752.85
THEREFORE, Citibank agrees to capitalize the Special Reserve for Future Capitalization, therefore the aggregate capital assigned to the Branch is increased to US$ 66,707,709.26, which capitalization is hereby authorized, and approved pursuant to Citibank´s internal policies and procedures.
FURTHERMORE, I hereby state that the sources of funds for this capital contribution made by Citibank are legitimate funds result of licit operations carried out by Citibank.
Citibank agrees to hereby authorize Rocio Velarde Gutierrez de Martorell and/or Rafael Serrano, to take all necessary steps to register before the Public Registry of Commerce the above-mentioned decision. To that end; the aforesaid attorney is hereby authorized to represent Citibank before any competent authority, Executive, Administrative or Judicial and preform any other activity considered appropriate or convenient in respect thereof.

Miscellaneous Provisions
Section 1. Fiscal Year. The fiscal year of the Association shall be the calendar year.
Section 2. Execution of Instruments. All agreements, indentures, mortgages, deeds, conveyances, transfers, certificates, declarations, receipts, discharges, releases, satisfactions, settlements, petitions, schedules, accounts, affidavits, bonds, undertakings, proxies and other instruments or documents, may be signed, executed, acknowledged, verified, delivered or accepted in behalf of the Association by the Chairman, the Chief Executive Officer, the President, any Vice Chairman, or any Executive Vice President, of the Chairman Credit Policy Committee, or any Senior Vice President, or the Secretary, or the Chief Auditor, or any Vice President, or anyone holding a position equivalent to the, foregoing pursuant to provisions of these By-Laws or, if in connection with the exercise of any of the fiduciary powers of the Association, by any of said officers or by any Senior Trust Officer. Any such instruments may also be executed, acknowledged, verified, delivered or accepted in behalf of the Association in such other manner and by such other officers as the Board of Directors may from time to time direct. The provisions of tis Section 2 are supplementary to any other provisions of these By-Laws.

ADEMAS, certifico que el origen de los fondos para la contribución de este capital hecho por Citibank son fondos legítimos resultado de operaciones lícitas llevadas a cabo por Citibank.
Citibank acuerda por este medio autorizar a Rocío Velarde Gutierrez de Martorell y/o Rafael Serrano para realizar todos los pasos necesarios para el registro de la decisión antes mencionada ante el Registro Mercantil. Disposiciones Misceláneas
Sección 1. Año Fiscal. El año fiscal de la asociación será el del año calendario.
Sección 2. Ejecución de Instrumentos. Todos los acuerdos, escrituras, hipotecas, títulos, transferencias, certificados, declaraciones, recibos, descargos, remisiones, compensaciones, conciliaciones, peticiones, anexos, cuentas, declaraciones juradas, bonos, estipulaciones contractuales, mandatos o poderes y otros instrumentos o documentos pueden ser firmados, ejecutados, reconocidos, verificados, entregados o aceptados a nombre de la Asociación por el Presidente del Directorio, el Oficial Ejecutivo en Jefe, el Presidente, cualquier Subdirector o cualquier Vicepresidente Ejecutivo Senior, o el Presidente del Comité de Políticas de Crédito, o cualquier Vicepresidente Senior o el Secretario, o el Auditor en Jefe, o cualquier Vicepresidente o quien quiera que mantenga un cargo equivalente a los anteriores de conformidad a las estipulaciones de estos estatutos, o si esta en relación con el ejercicio de cualquiera de las facultades fiduciarias de la Asociación, por cualquiera de estos oficiales o por cualquier Oficial Senior de Confianza. Cualquiera de estos instrumentos puede también ser suscrito, reconocido, verificado, entregado o aceptado en nombre de la Asociación de esta manera y por cualquier otro oficial que designe el Directorio de tiempo en tiempo. Las estipulaciones de la Sección 2 son suplementarias a cualquier otra estipulación de este Estatuto.
