The undersigned, Douglas E. McKeever, Deputy Treasurer of Citibank, N.A., a national banking association formed and validly existing under the laws of the United States of America (hereinafter, “Citibank”), duly authorized pursuant to Article IV, Section 12 and Article X, Section 2 of the existing By-Laws of Citibank, a copy of the relevant part of which is attached hereto as Exhibit “A”, to grant this Capital Increase Certification HEREBY CERTIFIES the following:

WHEREAS:

  • Citibank recorded its organizational documents at the Public Registry of Commerce of the City of Quito, Ecuador establishing a branch in the mentioned country (hereinafter, the «Branch«).
  • The Branch obtained profits during the last year that are held in a special reserve destined to capitalize (hereinafter the “Special Reserve for Future Capitalization”) that need to be assigned as Capital. The amounts of profits that are held in the Special Reserve for Future Capitalization that need to be capitalized are composed as follow:

Profits of 2020              US$ 1,851,332.40

THEREFORE, Citibank agrees to capitalize the Special Reserve for Future Capitalization, therefore the aggregate capital assigned to the Branch is increased to US$ 68,559,041.66, which capitalization is hereby authorized, and approved pursuant to Citibank´s internal policies and procedures.

FURTHERMORE, I hereby state that the sources of funds for this capital contribution made by Citibank are legitimate funds result of licit operations carried out by Citibank.

Citibank agrees to hereby authorize Rocio Velarde Gutierrez de Martorell and/or Rafael Serrano as Attorneys-in-Fact (“Attorneys”), individually take all necessary steps to register before the Public Registry of Commerce the above-mentioned decision. To that end; the aforesaid Attorneys are hereby authorized to represent Citibank before any competent authority, Executive, Administrative or Judicial and preform any other activity considered appropriate or convenient in respect thereof.

Article IV

Attorney-in-Fact

Section 12. Attorneys-in-Fact. The Board of Directors may appoint one or more attorneys-in-fact as, from time to time, may appear to the Board of Directors to be required or desirable to transact the business of the Association. Subject to the authority of the Board of Directors, the Chairman, the Chief Executive Officer, the President, any Vice Chairman, any Executive Vice President or any Senior Vice President may appoint, dismiss and fix the compensation to be paid to such attorneys-in-fact (including third-party attorneys-in-fact who are not employed by the Association or by any affiliated corporate entity). In the case of any Vice President designated as Citigroup Country Officer (“CCO”), said CCO may appoint, dismiss and fix the compensation to be paid to such attorneys-in-fact in accordance with, and limited to, the powers granted to them pursuant to their respective CCO Powers of Attorney. The attorneys-in-fact appointed pursuant to this Section 12 shall exercise such powers and preform such duties as may, from time to time, be conferred upon them by Powers of Attorney.

ARTICLE X

Miscellaneous Provisions

Section 1. Fiscal Year.  The fiscal year of the Association shall be the calendar year.

Section 2. Execution of Instruments. All agreements, indentures, mortgages, deeds, conveyances, transfers, certificates, declarations, receipts, discharges, releases, satisfactions, settlements, petitions, schedules, accounts, affidavits, bonds, undertakings, proxies and other instruments or documents, may be signed, executed, acknowledged, verified, delivered or accepted in behalf of the Association by the Chairman, the Chief Executive Officer, the President, any Vice Chairman, or any Executive Vice President, or the Chairman Credit Policy Committee, or any Senior Vice President, or the Secretary, or the Chief Auditor, or any Vice President, or anyone holding a position equivalent to the, foregoing pursuant to provisions of these By-Laws or, if in connection with the exercise of any of the fiduciary powers of the Association, by any of said officers or by any Senior Trust Officer. Any such instruments may also be executed, acknowledged, verified, delivered or accepted in behalf of the Association in such other manner and by such other officers as the Board of Directors may from time to time direct. The provisions of this Section 2 are supplementary to any other provisions of these By-Laws.

A., una asociación bancaria nacional constituida y legalmente existente bajo las leyes de Estados Unidos de América (de aquí en adelante, «Citibank«), debidamente autorizado por el Artículo IV, Sección 12 y Artículo X, Sección 2 de los estatutos vigentes de Citibank, cuya copia de la parte correspondiente se adjunta como Anexo «A», para otorgar este Certificado de Aumento de Capital CERTIFICO lo siguiente:

CONSIDERANDO:

  • Citibank registró sus documentos societarios en el Registro Mercantil de la ciudad de Quito, Ecuador, estableciendo una sucursal en el mencionado país (de aquí en adelante, la «Sucursal«).
  • La Sucursal ha obtenido utilidades durante el año pasado que se encuentran en una reserva especial destinada a la capitalización (en lo sucesivo, “Reserva Especial para Futura Capitalización”) que requiere ser asignada como Capital. Las cantidades que se encuentran en la Reserva Especial para Futura Capitalización que requieren capitalizarse se componen de las siguientes:

Beneficios de 2020                    US$ 1,851,332.40

CONSECUENTEMENTE, Citibank acuerda a capitalizar la Reserva Especial para Futura Capitalización, por lo tanto, el capital agregado asignado a la Sucursal es aumentado a US$ 68,559,041.66, dicha capitalización queda autorizada y aprobada mediante este instrumento, de conformidad a los procedimientos y políticas internas de Citibank.

ADEMAS, certifico que el origen de los fondos para la contribución de este capital hecho por Citibank son fondos legítimos resultado de operaciones lícitas llevadas a cabo por Citibank.

Citibank acuerda por este medio autorizar a Rocío Velarde Gutierrez de Martorell y/o Rafael Serrano como Apoderados (“Apoderados”) para que realicen todos los pasos necesarios para el registro de la decisión antes mencionada ante el Registro Mercantil. Para este fin, los mencionados Apoderados quedan por este instrumento autorizados a representar a Citibank ante cualquier autoridad competente, Ejecutiva, Administrativa o Judicial y a ejecutar cualquier otra actividad considerada apropiada o conveniente a este respecto.

ANEXO A

Artículo IV

 

Apoderados

 

 

Sección 12. La Junta de Directores puede nombrar a uno o más apoderados, que de vez en cuando, según el criterio de la Junta pueden ser requeridos o necesarios para llevar a cabo el negocio de la Asociación. Sujeto a la autoridad de la Junta de Directores, el Presidente, el Director Ejecutivo, cualquier Vicepresidente, cualquier Vicepresidente Ejecutivo o cualquier Vicepresidente Senior pueden nombrar, destituir o fijar la compensación que se pagará a dichos apoderados (incluidos los apoderados externos que no están empleados por la Asociación o por ninguna entidad corporativa afiliada). En el caso de que cualquier Vicepresidente sea designado como Director de País de Citigroup (“CCO”), dicho CCO podrá nombrar, destituir y fijar la compensación que se pagará a dichos apoderados de acuerdo con, y limitado a, los poderes que se les otorguen en conformidad a las facultades otorgadas en el Poder de CCO. Los apoderados nombrados de conformidad con esta Sección 12 ejercerán los poderes y realizarán los deberes que, de vez en cuando, les sean conferidos por un poder notarial.

ARTICULO X

 

Disposiciones Misceláneas

Sección 1. Año Fiscal.  El año fiscal de la asociación será el del año calendario.

Sección 2. Ejecución de Instrumentos. Todos los acuerdos, escrituras, hipotecas, títulos,  transferencias, certificados, declaraciones, recibos, descargos, remisiones, compensaciones,  conciliaciones, peticiones, anexos, cuentas, declaraciones juradas, bonos, estipulaciones contractuales, mandatos o poderes y otros instrumentos o documentos pueden ser firmados, ejecutados, reconocidos, verificados, entregados o aceptados a nombre de la Asociación por el Presidente del Directorio, el Oficial Ejecutivo en Jefe, el Presidente, cualquier Subdirector o cualquier Vicepresidente Ejecutivo Senior, o el Presidente del Comité de Políticas de Crédito, o cualquier Vicepresidente Senior o el Secretario, o el Auditor en Jefe, o cualquier Vicepresidente o quien quiera que mantenga un cargo equivalente a los anteriores de conformidad a las estipulaciones de estos estatutos, o si esta en relación con el ejercicio de cualquiera de las facultades fiduciarias de la Asociación, por cualquiera de estos oficiales o por cualquier Oficial Senior de Confianza. Cualquiera de estos instrumentos puede también ser suscrito, reconocido, verificado, entregado o aceptado en nombre de la Asociación de esta manera y por cualquier otro oficial que designe el Directorio de tiempo en tiempo. Las estipulaciones de la Sección 2 son suplementarias a cualquier otra estipulación de este Estatuto.
